The Journey to 2030

2024

Inception

  • Valtura concept established
  • Technology & operating platform development
2025

Incubation

  • First founding ISO joins the cohort
  • Platform model tested and refined
  • European structure established for future scaling
2026–2028

Scaling Phase

  • 3–10 ISOs join the founder cohort
  • Network GP grows toward £40m
  • Central operations, reporting, and infrastructure mature
  • Executive team and governance board established
  • Founding ISO consolidated
2029

Consolidation Phase

  • All cohort ISOs consolidate into NewCo
  • FPUs convert into equity for ISO founders
  • Staff participation formalised (EMI/options/LTIP)
  • NewCo becomes the UK's largest independent payments network
2030

Capital Event

Each ISO founder receives:

  • 2× protected value floor (capital proceeds)
  • Contribution-weighted share of the 12.5% Founder Pool
  • Team participation from the 7.5% Staff Pool
  • Strategic buyer or PE expansion expected

Subject to eligibility and final legal/tax structuring at consolidation. Final equity structure (EMI, options, or LTIP) will be determined based on professional advice at that time.

Phase Two: 2030–2035

After the 2030 capital event, founders have a clear choice for the next chapter.
